NO PURCHASE REQUIRED TO ENTER OR WIN
1. ELIGIBILITY: The KEVIN RUDOLF LIVE Sweepstakes (the “Sweepstakes”) is open only to legal residents of fifty (50) United States or the District of Columbia Who are eighteen (18) years of age or older and who live within 100 miles of the applicable performance venue. Employees of imeem, Inc. or other companies associated with the promotion of the Sweepstakes, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Sweepstakes is subject to federal, state, and local laws and regulations and is void where prohibited.
2. SPONSOR: The Sweepstakes is sponsored by imeem, Inc., 650 4th Street, Box 155, San Francisco, CA 94107 (the “Sponsor”).
3. AGREEMENT TO OFFICIAL RULES: Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.
4. ENTRY PERIOD: The Sweepstakes for each of the following performances on the tour begins on January April 4, 2009 at 11:00 pm PT and ends at 11:00 pm PT on the date that is three (3) days prior to the performance (the “Entry Period”):

Entries that are submitted before or after the Entry Period will be disqualified.

5. HOW TO ENTER: You must be registered with imeem.com. If you are not already registered, visit imeem.com to register for free. To enter, visit www.imeem.com/kevinrudolf, leave your name and the city you nearest you in the comments section of the above blog post. Once you submit the entry form, you will receive one (1) entry into the Sweepstakes. Any entries attempted through the use of agencies or robotic, repetitive, automatic, programmed, or similar methods will be void. There is a limit of one (1) entry per person and e-mail address. Any additional entries will be void.
6. DRAWING: On or about the date that is three (3) days prior to the applicable performance, the Sponsor will select the potential winner in a random drawing of all eligible entries received. The odds of being selected depend on the number of entries received. The Sponsor will attempt to notify a potential winner within one (1) day of the drawing. If a potential winner cannot be contacted within one (1) day after the first attempt to contact him/her, the Sponsor may select an alternate potential winner in his/her place at random from the remaining entries.
7. REQUIREMENTS OF A POTENTIAL WINNER: A potential winner may be required to complete and return an affidavit of eligibility and liability/publicity release (the “Affidavit/Release”) within five (5) days of being notified. If a potential winner fails to sign and return the Affidavit/Release within the required time period, he/she will be disqualified and an alternate entrant may be selected in his/her place in a random drawing of all entries received. If a potential winner is a minor, his/her parent or legal guardian must sign the Affidavit/Release on the potential winner’s behalf.
8. PRIZE: One (1) winner for each performance will be entitled to receive two (2) general admission tickets to such performance. Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable or refundable and must be accepted as awarded. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. The winner is responsible for any and all other costs and expenses not listed above. Prizes may be reported as income to a winner and the winner will be responsible for all taxes associated with the receipt of a prize.
9. PRIVACY AND PUBLICITY: All information submitted by entrants in the Sweepstakes will be treated according to the imeem Privacy Policy. Except where prohibited, participation in the Sweepstakes constitutes an entrant’s consent to the Sponsor’s use of his/her name, likeness, voice, opinions, biographical information, and state of residence for promotional purposes in any media without further payment or consideration.
10. GENERAL CONDITIONS: In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules or (b) award the prizes at random from among the eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the participant. The “authorized account holder” is the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
11. RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Sweepstakes, entrants agree to release and hold harmless the Sponsor, its officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) any technical errors that may prevent an entrant from submitting an entry; (b) unauthorized human intervention in the Sweepstakes; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Sweepstakes or the processing of entries; or (f) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt of any prize. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
12. DISPUTES: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

1. ELIGIBILITY: The AT&T Valentine’s Day What’s on your Playlist Contest (the “Contest”) is open only to legal residents of fifty (50) United States or the District of Columbia who are eighteen (18) years of age or older. Employees of imeem, Inc. or other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Contest is subject to federal, state, and local laws and regulations and is void where prohibited.
2. SPONSOR: The Contest is sponsored by imeem, Inc., 660 4th Street, Box 155, San Francisco, CA 94107 (the “Sponsor”).
3. AGREEMENT TO OFFICIAL RULES: Participation in the Contest constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.
4. ENTRY PERIOD: The Contest begins on February 4, 2009 at 12:00 pm PT and ends on February 12, 2009 at 12:00 pm PT (the “Entry Period”). Entries that are submitted before or after the Entry Period will be disqualified.
5. CREATE AN ENTRY: You must be registered with imeem.com. If you are not already registered, visit imeem.com to register for free. To enter, you must create a Valentine’s Day-related playlist (your “Entry”). The Entry must meet each of the following requirements:
a. The Entry may not contain any trademarks, logos, or copyrighted elements other than elements owned by the entrant. Any elements that appear in the Entry, including without limitation, images, music, audio, speech, or other audiovisual materials used must be entirely original, created and performed by the entrant, or be in the public domain. Use of any elements that are not original or in the public domain will result in disqualification of the Entry, in the Sponsor’s sole discretion.
b. The Entry may not be obscene or indecent, it must not contain defamatory statements, it must not include threats to any person, place, business, or group, and it must not invade privacy rights or any other rights of any person, business, or group.
6. SUBMIT YOUR ENTRY: Once you have created an Entry that meets each of the requirements set forth above, visit http://www.imeem.com/whatsonyourplaylist (the “Website”), and follow the instructions to submit your Entry. There is no limit to the number of submissions per person.
7. ENTRANT’S WARRANTIES AND REPRESENTATIONS: By submitting an Entry, each entrant warrants and represents that the Entry (a) is original to the entrant, (b) does not infringe the intellectual property, privacy, publicity, or any other rights of any third party, (c) does not violate any law or regulation, (d) has not previously been entered in any other contest, and (e) has not been previously published in any medium. Moreover, the Entrant warrants and represents that he/she owns all rights to his/her Entry and is able to grant the rights to the Sponsor described in the “Sponsor’s Rights to Entries” section below.
8. SPONSOR’S RIGHTS TO ENTRIES: By submitting a Entry, each entrant:
a. Irrevocably grants to the Sponsor, its agents, licensees, and assigns the unconditional and perpetual right and permission to copyright, reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use the Entry (with or without using the entrant’s name) in any media throughout the world for any purpose, without limitation, and without additional review, compensation, or approval from the entrant or any other party.
b. Forever waives any rights of copyrights, trademark rights, privacy rights, and any other legal or moral rights that may preclude the Sponsor’s use of the entrant’s Entry, or require the entrant’s permission for the Sponsor to use the Entry.
c. Agrees not to instigate, support, maintain, or authorize any action, claim, or lawsuit against the Sponsor on the grounds that any use of the Entry, or any derivative works, infringes any of the entrant’s rights as creator of the Entry, including, without limitation, copyrights, trademark rights, and moral rights.
9. SELECTION OF WINNER: On or about February 14, 2009, the recording artists Secondhand Serenade or their designee(s) (each, a “Judge”) will evaluate the Entries on the basis of adherence to the Valentine’s Day theme in order to select the winner. The decision of the Judges is final. The odds of winning depend on the relative performance of all entrants and the number of eligible entries received. The Sponsor will attempt to notify the potential winners within two days of selection.
10. REQUIREMENTS OF A POTENTIAL WINNER: Except where prohibited, a potential winner will be required to sign and return an affidavit of eligibility, a liability/publicity release. In addition, a potential winner may be required to sign a release in which he/she irrevocably assigns and transfers to the Sponsor any and all rights, title and interest in Entry, including, without limitation, all copyrights and trademark rights, and waives all moral rights in the Entry. Documents must be signed, notarized, and returned to the Sponsor within one day of being notified. If a potential winner is a minor, his/her parent or legal guardian must sign the required documents on the entrant’s behalf. If a potential winner fails to sign and return the required documents within the required time period or is otherwise ineligible to receive the prize, an alternate entrant may be selected in his/her place according to the selection procedures set forth above.
11. PRIZE: One (1) Grand Prize winner will receive $1000 cash. Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable or refundable and must be accepted as awarded. No other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. The winner is responsible for any and all other costs and expenses not listed above. Prizes may be reported as income to a winner and the winner will be responsible for all taxes associated with the receipt of a prize.

NO PURCHASE REQUIRED TO ENTER OR WIN
1. ELIGIBILITY: The Escape The Fate “Rockstar” Contest (the “Contest”) is open only to legal residents of the United States or the District of Columbia who are eighteen (16) years of age or older other than the state of Rhode Island. Employees of imeem, Inc. or other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Contest is subject to federal, state, and local laws and regulations and is void where prohibited.
2. SPONSOR: ROCKSTAR, INC. a Nevada Corporation (“Sponsor”), with its place of business at P.O. Box 27740, Las Vegas, NV 89126
3. AGREEMENT TO OFFICIAL RULES: Participation in the Contest constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.
4. ENTRY PERIOD: The Contest begins on November 7, 2008 at 12:00pm PST and ends on December 5, 2008 at 12:00am PST (the “Entry Period”). Entries that are submitted before or after the Entry Period will be disqualified.
5. CREATE AN ENTRY: You must be registered with imeem.com. If you are not already registered, visit imeem.com to register for free. To enter, you must join the Escape The Fate Official Fan group on imeem (http://www.imeem.com/escapethefatefans) (the “Website”) and film and post a your performance video entry for the track “The Flood”. The band grants you full artistic freedom in creating your music video (your “Entry”); however, the Entry must meet each of the following requirements:
a. You must be singing to the provided instrumental track “The Flood” by Escape The Fate and the Entry must contain only your vocals.
b. The video entry must be posted to the Website.
c. The Entry may not contain any trademarks, logos, or copyrighted elements other than elements owned by the entrant or the instrumental track “The Flood”. Any elements that appear in the Entry, including without limitation, images, music, audio, speech, or other audiovisual materials used must be entirely original, created and performed by the entrant, or be in the public domain. Use of any elements that are not original or in the public domain will result in disqualification of the Entry, in the Sponsor’s sole discretion.
d. The Entry may not be obscene or indecent, it must not contain defamatory statements, it must not include threats to any person, place, business, or group, and it must not invade privacy rights or any other rights of any person, business, or group.
6. SUBMIT YOUR ENTRY: Once you have created an Entry that meets each of the requirements set forth above, visit the Website, and follow the instructions to submit your Entry.

a. You agree that the Entry shall be a "work made for hire," with all rights therein, including, without limitation, the exclusive copyright, being the property of Sponsor. In the event the Entry is considered not to be a "work made for hire," you irrevocably assign to Sponsor all right, title, and interest in the Entry (including, without limitation, the copyright) in any and all media whether now known or hereafter devised, in perpetuity, anywhere in the world, with the right to make any and all uses thereof, including, without limitation, for purposes of advertising or trade.

b. You hereby hold Sponsor harmless from and against any third party claim arising from use of the Entry. You waive any right to privacy and any other legal and moral rights. You waive any right to inspect or approve uses of the Entry or to be compensated for any such uses. The rights granted under this paragraph 8 shall extend to Sponsor and its affiliated companies with respect to all entrants in the Contest, including the entrant who is selected as the winner and those entrants who are not selected as the winner. Sponsor is under no obligation to use your Entry for any purpose.

9. SELECTION OF WINNER: On or about December 5, 2008 one or more judges selected by Sponsor (each, a “Judge”) will evaluate the Entries according to the following Judging Criteria in order to select the winner: imeem user feedback (plays, comments and rating) vocal accuracy and showmanship (equally weighted). The decisions of the Judges are final. The odds of winning depend on the relative performance of all entrants and the number of eligible entries received. The Sponsor will attempt to notify the potential winners within 10 days of selection.
10. REQUIREMENTS OF A POTENTIAL WINNER: Except where prohibited, a potential winner will be required to sign and return an affidavit of eligibility, a liability/publicity release. In addition, a potential winner may be required to sign a release in which he/she irrevocably assigns and transfers to the Sponsor any and all rights, title and interest in Entry, including, without limitation, all copyrights and trademark rights, and waives all moral rights in the Entry. Documents must be signed, notarized, and returned to the Sponsor within 7 days of being notified. If a potential winner is a minor, his/her parent or legal guardian must sign the required documents on the entrant’s behalf. If a potential winner fails to sign and return the required documents within the required time period or is otherwise ineligible to receive the prize, an alternate entrant may be selected in his/her place according to the selection procedures set forth above.

PRIZE: One (1) Grand Prize winner will be awarded two (2) round trip tickets to Las Vegas (ERV $700), one (1) night hotel stay (ERV $200,) fifty ($50) dollars cash, meet Escape The Fate, watch the show from the side stage and perform the song “The Flood” with Escape The Fate on stage. Prizes are not transferable or refundable and must be accepted as awarded. The winner is responsible for any and all other costs and expenses associated with claiming the prize. Prizes may be reported as income to a winner and the winner will be responsible for all taxes associated with the receipt of a prize.

ELIGIBILITY: The Devin the Dude Playlist Contest (the “Contest”) is open only to legal residents of fifty (50) United States or the District of Columbia who are eighteen (18) years of age or older. 3. AGREEMENT TO OFFICIAL RULES: Participation in the Contest constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. To enter, you must add Devin the Dude as a friend at http://www.imeem.com/devinthedude (the “Website”) and follow the instructions to create and post your Devin the Dude Playlist (an “Entry”). The Entry must meet each of the following requirements:
a. The Entry must contain a playlist featuring at least 12 of the songs listed at the Website. The Entry must contain only those songs listed at the Website.
b. The Entry must be posted in the Comments section of imeem.com/devinthedude.
There is no limit of how many times a person may enter.
6. JUDGING: On or about Novembe16, 2008, the Sponsor will evaluate the Entries according to the total number of “plays” of the entire playlist or a portion thereof. The decisions of the Judges are final. The odds of winning depend on the relative performance of all entrants and the number of eligible entries received. The Sponsor will attempt to notify a potential winner within two (2) days of the drawing. If a potential winner cannot be contacted within two (2) days after the first attempt to contact him/her, the Sponsor may select an alternate potential winner in his/her place at random from the remaining entries.
7. REQUIREMENTS OF A POTENTIAL WINNER: A potential winner may be required to complete and return an affidavit of eligibility and liability/publicity release (the “Affidavit/Release”) within three (3) days of being notified. 1. ELIGIBILITY: The I Hate Kate Video Contest (the “Contest”) is open only to legal residents of the United States or the District of Columbia who are eighteen (18) years of age or older other than the state of Rhode Island. Employees of imeem, Inc. or other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Contest is subject to federal, state, and local laws and regulations and is void where prohibited.
2. SPONSOR: The Contest is sponsored by Glassnote Entertainment Group (http://www.glassnotemusic.com/).
3. AGREEMENT TO OFFICIAL RULES: Participation in the Contest constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.

5. CREATE AN ENTRY: You must be registered with imeem.com. If you are not already registered, visit imeem.com to register for free. To enter, you must join the I Hate Kate Official Fan group on imeem (http://www.imeem.com/ihatekatefans) (the “Website”) and create and post a music video for the track “Bed of Black Roses”. The band grants you full artistic freedom in creating your music video (your “Entry”); however, the Entry must meet each of the following requirements:
a. It must be synched to the song “Bed of Black Roses” by I Hate Kate and contain only original visual material or images you own the right to.
b. The entry must be posted to the Website.
c. The Entry may not contain any trademarks, logos, or copyrighted elements other than elements owned by the entrant. Any elements that appear in the Entry, including without limitation, images, music, audio, speech, or other audiovisual materials used must be entirely original, created and performed by the entrant, or be in the public domain. Use of any elements that are not original or in the public domain will result in disqualification of the Entry, in the Sponsor’s sole discretion.
d. The Entry may not be obscene or indecent, it must not contain defamatory statements, it must not include threats to any person, place, business, or group, and it must not invade privacy rights or any other rights of any person, business, or group.
6. SUBMIT YOUR ENTRY: Once you have created an Entry that meets each of the requirements set forth above, visit the Website, and follow the instructions to submit your Entry.
7. ENTRANT’S WARRANTIES AND REPRESENTATIONS: By submitting an Entry, each entrant warrants and represents that the Entry (a) is original to the entrant, (b) does not infringe the intellectual property, privacy, publicity, or any other rights of any third party, (c) does not violate any law or regulation, (d) has not previously been entered in any other contest, and (e) has not been previously published in any medium. Moreover, the Entrant warrants and represents that he/she owns all rights to his/her Entry and is able to grant the rights to Sponsor described in paragraph 8 below.
8. OWNERSHIP:

a. You agree that the Entry shall be a "work made for hire," with all rights therein, including, without limitation, the exclusive copyright, being the property of Sponsor. In the event the Entry is considered not to be a "work made for hire," you irrevocably assign to Sponsor all right, title, and interest in the Entry (including, without limitation, the copyright) in any and all media whether now known or hereafter devised, in perpetuity, anywhere in the world, with the right to make any and all uses thereof, including, without limitation, for purposes of advertising or trade.

b. You hereby hold Sponsor harmless from and against any third party claim arising from use of the Entry. You waive any right to privacy and any other legal and moral rights. You waive any right to inspect or approve uses of the Entry or to be compensated for any such uses. The rights granted under this paragraph 8 shall extend to Sponsor and its affiliated companies with respect to all entrants in the Contest, including the entrant who is selected as the winner and those entrants who are not selected as the winner. Sponsor is under no obligation to use your Entry for any purpose.

9. SELECTION OF WINNER: On or about October 22, 2008 one or more judges selected by Sponsor (each, a “Judge”) will evaluate the Entries according to the following Judging Criteria in order to select the winner: professional quality and creativity (equally weighted). The decisions of the Judges are final. The odds of winning depend on the relative performance of all entrants and the number of eligible entries received. The Sponsor will attempt to notify the potential winners within 10 days of selection.
10. REQUIREMENTS OF A POTENTIAL WINNER: Except where prohibited, a potential winner will be required to sign and return an affidavit of eligibility, a liability/publicity release. In addition, a potential winner may be required to sign a release in which he/she irrevocably assigns and transfers to the Sponsor any and all rights, title and interest in Entry, including, without limitation, all copyrights and trademark rights, and waives all moral rights in the Entry. Documents must be signed, notarized, and returned to the Sponsor within 7 days of being notified. If a potential winner is a minor, his/her parent or legal guardian must sign the required documents on the entrant’s behalf. If a potential winner fails to sign and return the required documents within the required time period or is otherwise ineligible to receive the prize, an alternate entrant may be selected in his/her place according to the selection procedures set forth above.
11. PRIZE: One (1) Grand Prize winner will be awarded a signed Epiphone Acoustic PR150 Guitar (ERV $200) and the winning video will be used to service all of the band’s social network sites as well as all of their web contacts. The winning video will also be featured on the imeem service. Prizes are not transferable or refundable and must be accepted as awarded. The winner is responsible for any and all other costs and expenses associated with claiming the prize. Prizes may be reported as income to a winner and the winner will be responsible for all taxes associated with the receipt of a prize.

Eligible Entries will be voted on online and judged to determine the prize winner. The Entry must meet each of the following requirements:

a. The Entry may not contain any trademarks, logos, or copyrighted elements other than elements owned by the entrant or made available on the Web Site. Any elements that appear in the Entry, including without limitation, images, music, audio, speech, or other audiovisual materials used must be entirely original, created and performed by the entrant, or be in the public domain. Use of any elements that are not original or in the public domain will result in disqualification of the Entry, in the Sponsor’s sole discretion. b. Once a User Name has been registered by an entrant, that User Name cannot be used by any other person for this Contest (or to register with the Web Site). Only the entrant registered under a particular email address may participate in this Contest. Each Submission shall constitute an “Entry” into this Contest. Once submitted, you cannot change your Submission. The Sponsor will attempt to notify the potential winner within ten (10) days of selection.

10. REQUIREMENTS OF A POTENTIAL WINNER: Except where prohibited, a potential winner will be required to sign and return an affidavit of eligibility, a liability/publicity release. b. Forever waive any rights of copyrights, trademark rights, privacy rights, and any other legal or moral rights that may preclude the Sponsor’s use of your entry, or require your permission for the Sponsor to use the entry.
c. Agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against the Sponsor on the grounds that any use of your entry, or any derivative works, infringes any of your rights as creator of the entry, including, without limitation, copyrights, trademark rights, and moral rights.

7. DRAWING: On or about August 25, 2008, the Sponsor will select the potential winner in a random drawing of all entries received. The odds of being selected depend on the number of entries received. The Sponsor will attempt to notify a potential winner within two (2) days of the drawing. If a potential winner cannot be contacted within two (2) days after the first attempt to contact him/her, the Sponsor may select an alternate potential winner in his/her place at random from the remaining entries.

8. REQUIREMENTS OF A POTENTIAL WINNER: A potential winner will be required to complete and return an affidavit of eligibility and liability/publicity release (the “Affidavit/Release”) within five (5) days of being notified. If a potential winner fails to sign and return the Affidavit/Release within the required time period, he/she will be disqualified and an alternate entrant may be selected in his/her place in a random drawing of all entries received. If a potential winner is a minor, his/her parent or legal guardian must sign the Affidavit/Release on the potential winner’s behalf.

9. PRIZE: The winner of the Slick Rick Wants the Skinny on your City! Sweepstakes will receive $500 (five hundred) dollars cash. Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable or refundable and must be accepted as awarded. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. The winner is responsible for any and all other costs and expenses not listed above. Prizes may be reported as income to a winner and the winner will be responsible for all taxes associated with the receipt of a prize.

10. PRIVACY AND PUBLICITY: All information submitted by entrants in the Sweepstakes will be treated according to the imeem Privacy Policy. Except where prohibited, participation in the Sweepstakes constitutes an entrant’s consent to the Sponsor’s use of his/her name, likeness, voice, opinions, biographical information, and state of residence for promotional purposes in any media without further payment or consideration.

11. GENERAL CONDITIONS: In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules or (b) award the prizes at random from among the eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the participant. The “authorized account holder” is the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

12. RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Sweepstakes, entrants agree to release and hold harmless the Sponsor, its officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) any technical errors that may prevent an entrant from submitting an entry; (b) unauthorized human intervention in the Sweepstakes; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Sweepstakes or the processing of entries; or (f) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt of any prize. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

13. DISPUTES: Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
